- “Client” or “You” refers to the person or entity engaging our services.
- “Services” refers to the web design, development, consulting, and other digital services provided by the Company.
2. Services
London Web Studio Ltd provides professional web design and digital services. All projects are subject to a specific Scope of Work (SOW) or Proposal document provided to the Client prior to the commencement of work. Any changes to the scope requested by the Client may incur additional charges.
3. Payment Terms
- Invoicing: Invoices are issued based on the payment schedule outlined in your specific project contract.
- Payment Deadline: Unless otherwise stated, all invoices are due within 7 days of the date of invoice.
- Late Payments: We reserve the right to charge interest on overdue payments at a rate of 5% per month.
- Project Suspension: We reserve the right to pause or terminate work on any project if payment terms are not met.
4. Intellectual Property
- Client Content: The Client retains ownership of all content, trademarks, and assets provided to us. The Client grants us a non-exclusive, royalty-free license to use these assets for the purpose of completing the project.
- Company Work Product: Upon full and final payment of all fees, the Company grants the Client a perpetual, royalty-free, non-exclusive license to use the final deliverables (website code, designs, etc.) for their business operations.
- Pre-existing Materials: Any proprietary code, frameworks, or tools owned by London Web Studio Ltd used in the development of the Client’s project remain the property of the Company.
5. Client Obligations
The Client agrees to:
- Provide all necessary assets (logos, copy, images, credentials) in a timely manner.
- Review deliverables promptly and provide feedback within agreed-upon timeframes.
- Ensure they have the legal right to use all content provided to us.
6. Limitation of Liability
To the maximum extent permitted by law, London Web Studio Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use our services.
- Any conduct or content of any third party (e.g., hosting providers, plugin developers).
Our total liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid by the Client to the Company for the specific project in the 12 months preceding the claim.
7. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party during the course of the project, including business strategies, technical processes, and trade secrets.
8. Termination
Either party may terminate the agreement with 14 days ‘ written notice. In the event of termination, the Client is liable for payment for all work completed up to the date of termination, plus any non-cancellable expenses incurred by the Company.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
