Affiliate Program Terms & Conditions

These Terms and Conditions (“Agreement”) govern your participation in the London Web Studio Affiliate Program (“Affiliate Program”). By signing up as an affiliate of London Web Studio Ltd (“Company,” “we,” “our,” or “us”), you agree to comply with and be bound by the following terms.

If you do not agree with these terms, you may not participate in the Affiliate Program.

1. Definitions

Affiliate: An individual or business entity that has applied, been accepted, and actively participates in the Affiliate Program.
Affiliate Link: A unique tracking link or code provided by London Web Studio to the Affiliate to promote our products and services.
Commission: The monetary reward earned by the Affiliate for qualifying sales generated through Affiliate Links.
Qualifying Sale: A completed purchase made by a referred customer who has followed the Affiliate Link and not canceled or refunded their order.

2. Eligibility

To join the Affiliate Program, you must:
- Be at least 18 years old.
- Operate a website, blog, social media account, or marketing channel that complies with applicable laws.
- Submit a truthful application form.
We reserve the right to accept or reject any application at our sole discretion. Applications may be rejected if the applicant promotes illegal, offensive, or harmful content, or if their promotional methods may harm our reputation.

3. Affiliate Responsibilities

You are solely responsible for promoting London Web Studio products and services in a lawful and ethical manner.
You may use promotional materials, banners, and Affiliate Links provided by us.
You must not:
1. Use spam, unsolicited emails, or misleading advertising.
2. Misrepresent London Web Studio or make false claims about our services.
3. Bid on our brand name or variations in paid search ads (e.g., Google Ads).
4. Use cookie stuffing, cloaking, or fraudulent means to generate sales.
Affiliates are responsible for the security of their accounts and tracking links.

4. Commission Structure

Affiliates will earn a commission on Qualifying Sales as outlined in the Affiliate Program details published on our website.
Commissions are calculated as a percentage of the total purchase value (excluding VAT, taxes, refunds, or chargebacks).
Commissions will only be paid once the referred customer has completed the purchase and the refund period (if applicable) has passed.
London Web Studio reserves the right to modify the commission rates or structure at any time, with reasonable notice.

5. Payments

Commissions are paid monthly via bank transfer, PayPal, or another agreed method.
The minimum payout threshold is £50 GBP. Balances under this threshold will be rolled over to the next payment cycle.
Affiliates are responsible for providing accurate payment details. We are not responsible for failed or delayed payments due to incorrect information.
Affiliates are solely responsible for reporting and paying any applicable taxes on their commission earnings.

6. Intellectual Property

We grant you a limited, non-exclusive, non-transferable right to use our logos, banners, and promotional materials solely for the purpose of participating in the Affiliate Program.
You may not alter, modify, or misuse our intellectual property in any way.
All intellectual property rights remain the exclusive property of London Web Studio.

7. Term & Termination

This Agreement begins upon your acceptance into the Affiliate Program and continues until terminated.
Either party may terminate this Agreement at any time, with or without cause, by giving written notice (including email).
We reserve the right to immediately terminate your participation if you:
- Violate these Terms and Conditions.
- Engage in fraudulent or unethical marketing practices.
- Harm or attempt to harm our reputation.
Upon termination, you must remove all Affiliate Links and promotional materials from your channels.

8. Limitation of Liability

London Web Studio will not be liable for indirect, incidental, or consequential damages, loss of revenue, or data arising from participation in the Affiliate Program.
We do not guarantee uninterrupted tracking, and we are not responsible for affiliate commissions lost due to technical errors, downtime, or third-party issues.

9. Confidentiality

Any information provided to you in connection with the Affiliate Program, including commission rates, customer data, and promotional strategies, must remain confidential and not be disclosed to third parties.

10. Modifications

London Web Studio reserves the right to modify these Terms and Conditions at any time. Continued participation in the Affiliate Program after updates constitutes acceptance of the new terms.

11. Governing Law

This Agreement shall be governed by and construed under the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England.

12. Entire Agreement

This Agreement constitutes the entire understanding between the Affiliate and London Web Studio regarding the Affiliate Program and supersedes all prior agreements, written or oral.
