Terms and Conditions for London Web Studio

1. Introduction

1.1 These Terms and Conditions (“Agreement”) govern the relationship between London Web Studio Ltd. (“we,” “our,” or “us”) and the client (“you” or “client”) for web design and related services. By engaging our services, you agree to be bound by this Agreement.

2. Services

2.1 We will provide web design and development services as specified in the project proposal or agreement.

2.2 The project scope, timeline, and fees are outlined in the project proposal or agreement, and any changes must be agreed upon in writing by both parties.

3. Client Obligations

3.1 You agree to provide timely feedback, content, and materials necessary for the project.

3.2 You are responsible for obtaining and maintaining any necessary licenses, permissions, and rights for content and materials provided to us.

4. Payments

4.1 Payment terms are detailed in the project proposal or agreement.

4.2 Payments are due according to the agreed schedule, and we reserve the right to suspend work until payment is received.

4.3 Late payments may incur interest or result in project delays.

5. Intellectual Property

5.1 We retain ownership of all intellectual property rights in designs and materials developed during the project, unless otherwise agreed in writing.

5.2 Upon full payment, you will receive a license to use the final website, subject to any third-party rights.

6. Revisions and Rejections

6.1 Revisions and minor changes are typically included in the project scope, but extensive changes may be subject to additional fees.

6.2 You must promptly review and provide feedback on all deliverables. Failure to do so may result in project delays.

7. Confidentiality

7.1 Both parties agree to keep confidential any proprietary or sensitive information received during the project.

8. Termination

8.1 Either party may terminate the project by providing written notice.

8.2 Upon termination, you agree to pay for any work completed up to that point.

9. Warranties and Liability

9.1 We warrant that our work will be performed in a professional manner.

9.2 Our liability is limited to the total fees paid for the project. We are not liable for any consequential, indirect, or incidental damages.

10. Force Majeure

10.1 We are not liable for any failure or delay in performing our obligations due to circumstances beyond our control.

11. Governing Law and Jurisdiction

11.1 This Agreement is governed by the laws of the United Kingdom, and any disputes will be resolved in the courts of the United Kingdom. 

12. Amendments

12.1 We may update these terms and conditions with notice to you. Continued use of our services constitutes acceptance of the updated terms.

13. Entire Agreement

13.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
